Questions to take to counsel and CPA

  1. What is the modeled cash-at-close bridge under the exact debt, tax, escrow, and working-capital assumptions?
  2. What legal rights and transfer restrictions attach to the rollover security?
  3. Can buyer-controlled staffing, scheduling, coding, vendor, or marketing decisions affect the earnout?
  4. What happens to compensation, equity, and restrictive covenants after termination without cause or disability?
  5. Which terms must be resolved before exclusivity or the signing deadline?
Confidentiality boundary: No patient records or PHI are needed. Do not send unredacted LOIs, APAs, or confidential attachments through a public form. A real order begins with headline terms; document handoff instructions follow only after payment verification.
